Under Virginia law, the existence of a Virginia corporation, limited liability company, business trust or limited partnership, and the status of a Virginia registered limited liability partnership, can be reinstated or restored within 5 years of the date on which its existence or certificate of registration was canceled. Upon reinstatement or restoration, the existence of a Virginia business entity or the status of a Virginia registered limited liability partnership is deemed to have continued from the date of termination or cancellation, without interruption.

A foreign business entity that was authorized to transact business in Virginia also may have its certificate of authority or registration reentered or reinstated within 5 years of revocation or cancellation.

After the 5-year period lapses, the Commission has no authority to enter an order of reinstatement or restoration.

Customers may obtain from the Clerk’s Office a Reinstatement Requirements Packet that includes a reinstatement application and identifies all items required for reinstatement, reentry or restoration. Please note that the reinstatement requirements are valid as of the date the packet is generated and that the requirements may change over time.
