Reinstatements
Under Virginia law, the existence of a Virginia corporation, limited liability company,
business trust or limited partnership, and the status of a Virginia registered limited
liability partnership, can be reinstated or restored within 5 years of the date
on which its existence or certificate of registration was canceled. Upon reinstatement or restoration, the existence of a Virginia business
entity or the status of a Virginia registered limited liability partnership is deemed
to have continued from the date of termination or cancellation, without interruption.
A foreign business entity that was authorized to transact business in Virginia also
may have its certificate of authority or registration reentered or reinstated within
5 years of revocation or cancellation.
After the 5-year
period lapses, the Commission has no authority to enter an order of reinstatement
or restoration.
Customers may obtain from the Clerkâs Office a Reinstatement Requirements Packet
that includes a reinstatement application and identifies all items required for
reinstatement, reentry or restoration. You may request
a packet online or by contacting the Office of
the Clerk at (804) 371-9733 or toll-free in Virginia at 1-866-722-2551.
Please note that the reinstatement requirements are valid as of the date the packet
is generated and that the requirements may change over time.
